Biography

Chirouette El Masry is an Egyptian qualified Lawyer specializing in banking and finance, and general corporate. She has experience in banking and project finance transactions, drafting of pertinent finance documents and security documents, advising on its enforceability and enforcing them before competent authorities. Chirouette, further, has experience in advising on banking related laws and regulations, she also represents structured finance companies providing non-banking services and advises on the regulatory requirements and commercial agreements related to such activities including financial leasing, consumer finance, and mortgage finance.

Chirouette’s particular strength is her ability to negotiate and draft complex commercial and transactional agreements and providing strategic advice on all matters related to corporate expansion into the Middle East in general, Egypt in particular and the European Union in general, France in particular. Her practice area encompasses general commercial and banking agreements, local as well as cross border joint ventures, credit agreements, pledge agreements, security agreements, sales agreement, regulatory compliance, due diligence processes and drafting of pertinent reports.

Chirouette, further, has participated in the drafting of a book that is titled “Brussels I Bis Regulation and Special Rules: Opportunities to enhance Judicial Cooperation” that has been published here.

  • Advising HSBC Bank Middle East Limited and HSBC Bank Egypt S.A.E on Egyptian Law matters regarding USD 30 Million bridge facility in relation to Cheiron Holdings Egypt Limited as well as drafting and negotiating assignment agreement and personal guarantee in relation to the Facility Agreement.
  • Advising the MLAs on Egyptian Law aspects regarding USD 1.1 Billion bridge facility agreement and revolving credit facility agreement, in order to pay off part of the existing debts of Fertiglobe Group and the general corporate purposes of the group.

  • Advising Acwa Power Company on the 200MW solar photovoltaic independent power production project at Kom Ombo, Egypt.
  • Advising Tanmeyah Micro Enterprise Services S.A.E on banking services in relation to Banque Misr, Egypt.
  • Representing HSBC Bank Egypt S.A.E on the amendment of a Multi-Facility Agreement in relation to Cheiron Finance Limited Company.
