Biography
Seif is an Egyptian qualified lawyer specializing in mergers and acquisitions, general corporate, restructuring and employment matters. He regularly advises and assists clients in acquisition transactions, due diligence processes, drafting of acquisition related documentation including due diligence reports, share purchase agreements and shareholders agreements.
Prior to joining Al Tamimi, Seif worked at other reputable law firms in Cairo and Dubai where he was a member of their corporate structuring teams regularly advising clients on setting up of companies in Egypt and Dubai, obtaining the required licenses and permits, drafting and reviewing various agreements including employment, franchise, distributorship, shareholders and share purchase agreements and advising on company secretarial matters.
Seif also has experience in litigation which includes attending court hearings and expert meetings in relation to employment, civil and personal injury claims.
Recent Experience
- Advising Ikarus Petroleum Industries, a Kuwaiti energy investor, on the entry into a joint venture with Al Ahly Capital to invest USD 150 million in the Egyptian petrochemical sector.
- Advising ASGC Construction L.L.C., an Emirati construction company, on the AED 200 million sale of its operations in Egypt.
- Advising EFG Finance Holding S.A.E., in relation to its potential investment in a fin-tech company.
- Advising Mwasalat Misr S.A.E., a leading Egyptian group specialized in providing urban mobility and transit solutions, on the entry into a joint venture with the Administrative Capital for Urban Development S.A.E. and the Arab Union Company for Land Transport and Tourism (Super Jet) S.A.E. to establish a joint stock company to provide public land transport services in the New Administrative Capital.
- Advising Compass Capital for Financial Investment S.A.E., in relation to the legal due diligence conducted on Bonyan for Development & Trading S.A.E. to assist Compass Capital in the potential investments to be made in Bonyan by third party investors.
- Advising International Finance Corporation (IFC) and other investors in relation to their potential investment in a fin-tech company.
- Advising Mwasalat Misr S.A.E., in the EGP 37.5 million sale of 20% of its share capital to the National Bank of Egypt.
