Biography

Seif Elfar is an Associate in our Corporate Commercial team, based in Abu Dhabi, covering mergers & acquisitions, capital markets and corporate governance across the UAE.

Seif successfully completed the firm’s first England & Wales training contract and the Legal Practice Course in parallel and has gained exposure to a wide range of practice areas including corporate structuring, commercial advisory, civil and criminal litigation as well as arbitration disputes, in addition to government and legislative drafting projects.

Prior to joining the firm’s Abu Dhabi office, Seif had gained one year of work experience across several organizations in the Middle East and Europe, including White & Case in Abu Dhabi, J.P. Morgan in London and Kempen & Co in Amsterdam.

Recent Experience

  • Advising Nine Yards Plus Holding on its acquisition of 80% of the issued share capital of Abu Dhabi Commercial Properties LLC (ADCP) from Abu Dhabi Commercial Bank (ADCB): overseeing the due diligence exercise and advising on the transaction documents.
  • Representing regional sovereign wealth funds in the sale of their entire issued share capital in a leading maritime company: leading the negotiation of the transaction documents, advising on the buyback of shares, capital reduction, closing mechanics, post-closing corporate governance and restructuring.
  • Advising a leading Abu Dhabi investment vehicle on its acquisition of a majority equity stake in a multi-national tourism company with 29 branches across the Middle East: leading an extensive due diligence exercise across the UAE, Jordan and Egypt and drafting the transaction documents.
  • Selected as the project manager to lead the drafting of a legal and regulatory framework to govern a newly established Abu Dhabi-based free zone: drafting a detailed benchmark and recommendations report, drafting the founding law of the free zone and advising the client on the entire free zone establishment process.
  • Advising local private and listed public joint stock companies on various corporate governance matters, including general assemblies, related party transactions and the UAE Central Bank and Securities & Commodities Authority regulations.
  • Representing a government-owned special purpose vehicle in an onshore litigation dispute and subsequent settlement related to the buy-back of aircrafts worth more than USD 200 million.
  • Advising, representing and drafting memoranda on behalf of a member of the UAE royal family before the Abu Dhabi Courts in a year-long litigation dispute related to the construction of a luxury hotel in Saadiyat Island.
  • Advising the federal government on a strategic long-term judicial and legislative reform project requiring extensive benchmarking, legislative research, drafting and collaboration with management consulting firms.
  • Representing a member of the UAE royal family in the acquisition of assets in Spain in coordination with local counsel and assisting with post-closing mandates.
