Biography
Rachel is an Of Counsel in the Employment & Incentives practice, based in Dubai, and advises local and international clients on the full range of and transactional, advisory and contentious employment matters in the UAE, onshore and within the various free zones, including the Dubai International Financial Centre (DIFC) and Abu Dhabi Global Market (ADGM). Rachel is an England and Wales qualified solicitor with over 13 years’ experience in private practice, combining technical excellence with calm, pragmatic and solutions-focused advice.
Rachel has significant transactional experience, having advised on numerous complex cross-border matters including carve-outs, acquisitions and disposals spanning multiple jurisdictions as well as post-closing advice including workforce integration, incentivisation and management changes. Rachel has extensive expertise supporting clients through complex and sensitive workplace investigations, spanning grievances and whistleblowing reports on serious misconduct, discrimination and harassment issues, acting both as an adviser and an external independent investigator. Rachel’s broader advisory and contentious experience encompasses senior executive appointments and exits, enforcement of restrictive covenants, advice on bonus and incentive structures and UK tribunal and high court proceedings.
Prior to joining Al Tamimi & Company, Rachel spent over a decade in a leading employment law team at a Magic Circle firm in London. She has also undertaken a number of secondments during her career to in-house legal and HR teams of a variety of financial services firms.
Recent Experience
- Advised a multi-national company in administration on complex employee transfer and end of service gratuity issues arising from the sale of parts of its business and employee terminations.
- Advised an international consultancy firm on a settlement agreement following allegations of disability discrimination constructive dismissal.
- Advising on employment matters, including due diligence preparation, employee transfers and negotiation of sale documentation, for both sell side and buy side of numerous international share and business sale transactions.
- Advised an international financial services firm on establishment of an entity in the UAE, including draft employment contracts and consultancy arrangements.
Prior to joining Al Tamimi & Company, Rachel advised:
- Unilever on the separation of its ice cream business, involving complex carve-out arrangements in over 50 jurisdictions, having previously advised on the separation and disposals of its spreads and tea divisions.
- Digital Bridge on its acquisition of Yondr Group, involving complex employment matters across multiple jurisdictions and issues arising from sensitive employment litigation both in the UK and the US.
- Tate & Lyle on its $1.8bn acquisition of CP Kelco.
- Perfetti Van Melle, on its $1.35bn acquisition of Mondelez’s gum business in the US, Canada and Europe.
- An insurance business on a sensitive investigation by Lloyd’s of London concerning extensive allegations of serious non-financial misconduct and associated disciplinary processes for its senior executives.
- An investment bank on a complex and reputationally sensitive grievance investigation.
- A global hedge fund on proposed changes to its bonus structures and restrictive covenants.
- Various senior executive exits and appointments in the listed and private sector.
