Biography

Ingy Darwish is a Senior Associate in the Corporate Commercial practice in Dubai, formerly in Egypt.

Ingy has experience in M&A and capital markets transactions. She has assisted various local and international clients on transaction documents, deal negotiations and due diligence in the context of mergers and acquisitions and initial public offerings (IPO).

She has further experience in incorporating offshore as well as inland companies and partnerships; moreover, in preparing commercial and legal advisory for healthcare, education and sports and recreational sectors.

Ingy has also experience in drafting and advising on civil and commercial agreements including franchise, commercial agency, distributorship, sale, marketing, brokerage and services provision, and in corporate secretarial work including general assemblies and board meetings.

Ingy has further experience in advising both investors and the company on early-stage funding, Series A, Series B and Series C investment rounds, including managing the legal due diligence and negotiating the financing documents.

  • Advising Egypt Ventures on its Series B equity financing in Halan, a ride-hailing app for underserved populations headquartered in Egypt.
  • Advising an Egypt-based Foodtech startup on its Series C priced equity funding rounding round (This transaction is ongoing and therefore names are withheld).
  • Advising Sawari Ventures on its Series A equity financing of Egyptian micro-lending platform MoneyFellows.
  • Advising Global Ventures on its pre-Series A convertible equity financing of Egypt-based mobile-first equities trading platform THNDR.
  • Advising the Future Investment Initiative Institute, a PIF-backed think-tank and impact investor on a series of participations in convertible note seed financings in 6 technology companies in the health-tech and deep tech sectors operating in the United States, Canada and France.  The investee companies are undisclosed as these transactions are ongoing.
  • Advising a consortium of high net worth individuals on their investment in Homezmart, an e-commerce marketplace platform selling home furniture to home consumer, in Halan and Trella, a shipper mobile app,
  • Advising Ezdehar Egypt Mid-Cap Fund Cooperatief U.A. on the acquisition of a minority stake in Eagle Chemicals Group.  
  • Advising GEMS Education on the acquisition of 100% of Hayah International Schools.
  • Advising El Sewedy Capital on the acquisition of a majority stake in British Colombia Canadian International School (BCCIS School).
  • Advising to Cairo 3A for International Industries to acquire on the mandatory tender offer to acquire the Egyptian Starch and Glucose a listed company on the Egyptian Exchange.
  • Advising Pharos Holding for Financial Investments on the sale of its stake in Pharos Securities Brokerage to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt.
  • Advising Hytech International LLC on the sale of its shares in Hytech Egypt USA LLC (owner of MisrHytech Seed International S.A.E.) to a consortium composed of Helios and the Egyptian American Enterprise Fund.
  • Advising British Colombia Canadian International School (BCCIS School) on the transaction whereby Cairo Investment and Real Estate Development (CIRA) acquired 60% of BCCIS School.
  • Advising EFG Finance Holding and GB Capital in relation to the joint venture with Talaat Mustafa Group (TMG) in the mortgage finance sector.
  • Advising on the primary acquisition of Dsquares LLC, an Egyptian company, by Ezdehar Mid-Cap Fund Cooperatief U.A., and drafting and negotiating the transaction documents.
