Biography

Ingy is a Partner at the Corporate department. Her experience is centered around advising local and international clients on transactions documents, deal negotiations and due diligence in the context of mergers and acquisitions, venture capital investments and public listings. Ingy has further experience in advising both investors and founder-backed companies on early and growth-stage funding as well as exit transactions in the Middle East with focus on Egypt and the UAE. She also advises boards of directors and executive management on corporate governance and public companies’ continuing obligations, including shareholder engagement and board and committee legal structures.

Prior to joining Al Tamimi, she held senior positions at a leading international law firm in Dubai and Abu Dhabi, advising on complex cross-border transactions, equity capital markets offerings, and venture capital investments. She has extensive experience working with multinational corporations, financial institutions, and high-growth companies, with strong expertise in deal structuring, regulatory matters, and supporting clients through corporate growth and investment.

  • Advised ADNOC on the landmark structured financing of up to 11$ Billion for Hail & Ghasha Gas Development.
  • Advised Abu Dhabi Future Energy Company PJSC – Masdar (“Masdar”) on the sale of all of Masdar’s stake in the waste-to-energy (“WtE”) platform, comprising operating and development-stage assets in the United Arab Emirates and Australia to Abu Dhabi Waste Management Company PJSC – Tadweer Group (“Tadweer”).
  • Advised Pharos Holding for Financial Investments on the sale of its stake in Pharos Securities Brokerage to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt.
  • Advised Telecom Egypt in relation to the potential exit of Vodafone Group from their joint venture in Vodafone Egypt and TE’s potential bid to acquire of a controlling stake Vodafone Egypt.
  • Advised the shareholders of Enviroserve, the only integrated e-waste treatment facility in the Middle East and Caucasus region, on the sale of 100% of Enviroserve to Tadweer Group and Dubal Holding.
  • Advised GEMS and EFG Hermes on the acquisition of 100% of Hayah International Academy.
  • Advised El Sewedy Capital on the acquisition of a majority stake in British Colombia Canadian International School (BCCIS School).
  • Advised Ezdehar Egypt Mid-Cap Fund Cooperatief U.A. on the acquisition of a minority stake in Eagle Chemicals Group.
  • Advised Priora Management Holdings on its acquisition of Virgin Mobile Middle East & Africa, the leading Mobile Virtual Network Operator (MVNO) of mobile telephony services in the MENA region with operations in the UAE, Saudi Arabia, Oman and Kuwait.
  • Advised Democrance Limited, a SaaS insurance technology platform, on its series A priced equity round led by Waed Ventures, Aramco’s venture capital fund designed to support the start-up ecosystem. Democrance operates in 15 countries across MENA region, South-East Asia and Latin America.
  • Advised Egypt Ventures on its Series B equity financing in Halan, a ride-hailing app for underserved populations headquartered in Egypt.
  • Advised Shorooq Partners on its role as lead investor in FoodLab’s series A priced equity round.
  • Advised Foundation Holdings on its participation as co-lead investor in Altibbi’s $44million series B capital raise.
  • Advised Future Investment Initiative Institute, a PIF-backed foundation and impact investor on a series of convertible note seed financings in 6 technology companies in the health-tech and deep tech sectors operating in the United States, Canada and France.
  • Advised Fertiglobe Plc, an ADGM company listed on the Abu Dhabi Securities Exchange (ADX), on its share buy-back.
  • Advised GFH Financial Group on their latest listing on the Abu Dhabi Securities Exchange (ADX), representing the fourth listing for the group in the MENA region since being listed and actively traded on the Bahrain Bourse, Boursa Kuwait and the Dubai Financial Market.
  • Advised Borouge Plc, an ADGM company listed on the Abu Dhabi Securities Exchange (ADX), on its share buy-back.
