Fouad has over 10 years of transactional and advisory experience working on a broad range of contentious and non-contentious corporate and commercial matters. Fouad  has a significant experience in advising multinational, regional, and Saudi listed clients on a variety of M&A, JV, employment, equity capital market, franchise, construction, distribution, SME, and real estate transactions. Fouad also has substantial experience advising key Saudi ministries and major regulators on legislative drafting, public policy, and regulatory matters. Further, he is an expert in managing and strategizing high-value and complex commercial litigation with a proven track record of winning cases.

  • Advising the Ministry of Education on the privatization of 4 university hospitals.
  • Advising the Ministry of Education on the privatization of the Saudi Electronic University.
  • Advising the Royal Commission for Makkah & Holy Sites in the privatization of telecommunication infrastructure in the Grand Mosque through a neutral host model in collaboration with NCP, MCIT, GPH, and MOF.
  • Advising the National Center for Privatization & PPP in the privatization of telecommunication infrastructure in the Prophet Mosque in Madinah through a neutral host model in collaboration with MDA, NCP, MCIT, GPH, and MOF.
  • Advising Saudi Ports Authority on drafting the Ports Law and conducting required studies, including current status assessment, benchmark assessment, and gap analysis.
  • Advising the Ministry of Investment on reviewing, assessing, and amending all legislations and regulations impacting investments in KSA across several sectors.
  • Advised the Ministry of Telecommunication & Information Technology in creating a set of regulations to govern and provide financial support to develop the TIT sector as per the new Telecom Law.
  • Advised the Royal Commission for Riyadh City in launching special economic zones in Riyadh.
  • Advised Saudi Ports Authority on the merger of two maritime government entities and the corporatization of significant national assets.
  • Advised (and seconded as a Head of Legal to) the Ministry of Culture (Jeddah Historical District Program) on all legal matters, including drafting royal orders and regulations and implementing regulations and policies.
  • Advised the Saudi Post (Saudi Post & Logistics “SPL”) in collaboration with SPL Company on an M&A deal to acquire Naqel Express.
  • Advised Matarat Holding (GACA’s Assets Investor Arm) on assets corporatization and complex corporate matters.
  • Acted as the project manager and primary external legal advisor to the Communication, Space & Technology Commission (CST) (formerly CITC).
  • Advised the Saudi Central Bank (SAMA) on drafting a new law in relation to banking secrecy.

  • Advised top government client in drafting bylaws of a royal foundation.
