Biography

Lulwa is a Kuwaiti national and bilingual Senior Associate in the Corporate department of our Kuwait office. She advises on a broad range of corporate and commercial matters, with a particular focus on public-private partnerships, mergers and acquisitions, competition law, regulatory compliance, and complex commercial arrangements.

Lulwa has significant experience advising government entities, bidders, and private sector clients on strategic mandates in Kuwait, including PPP projects, renewable energy developments, telecommunications infrastructure, and oil and gas-related transactions. She has acted as lead associate on several high-profile matters across these sectors.

In addition to her advisory practice, Lulwa works closely with the litigation team and regularly appears before the Kuwaiti courts, giving her a practical, on-the-ground understanding of the local legal landscape and dispute resolution framework.

Recent Experience

• Lead Associate on the Phase II & III Fixed Telecommunications Network Development PPP Project in Kuwait, valued at $2.69bn, advising the Ministry of Communications and the Kuwait Authority for Partnership Projects.

• Lead Associate advising a leading Turkish engineering and construction company on its bid for the Al Dibdibah Power and Al Shagaya Renewable Energy Phase III – Zone 2 Solar PV Project in Kuwait.

• Advising a bidder on a Kuwait Oil Company transaction involving the lease and sublease of usage rights to KOC’s pipeline network.

• Acted as legal advisor to the client in connection with its participation in the bidding process for the Waterfront Real Estate Project – Phase 3 (Souq Sharq), under the supervision of the Kuwait Authority for Partnership Projects.

• Advised a leading regional F&B operator listed on Boursa Kuwait on securing exclusive perpetual rights for one of its subsidiaries to manufacture, sell, and distribute Crystal Hot Sauce—an iconic New Orleans table sauce historically produced by Baumer Foods Inc., USA.

• Advised on and obtained clearance from the Kuwait Competition Protection Authority in connection with Prada S.p.A.’s acquisition of 100% of GIVI Holding S.r.l., the parent company of the Versace business and brands.

• Assisted the client in securing Kuwait Competition Protection Agency approval for Farfetch Holdings plc’s acquisition of a 47.5% stake in, and joint control over, YOOX Net-a-Porter Group S.p.A.

• Acted on behalf of Lamb Weston in securing clearance from the Kuwait Competition Protection Agency in connection with its acquisition of 100% of the equity interest in Meijer Frozen Foods.

• Advised Al Kout Industrial Projects Company on its acquisition of 100% of the shares in Mawad United Materials Company, a Kuwaiti industrial chemicals distribution company.
