Biography

Hakam is an associate in the Corporate Commercial department in Jordan.

Hakam’s experience in corporate law comprises advising on a multitude of merger and acquisition transactions, both private and public, as well as private equity transactions on a local and regional scale. He has advised clients on transactions across the MENA and GCC regions including the UAE, Saudi Arabia, Jordan and Federal Iraq, as well as coordinating transactions in offshore jurisdictions including Cayman Islands and the BVI.

Recent Experience

Advising ADNOC Gas plc on its IPO on the ADX (the largest IPO globally in H1 2023).
Advising Abu Dhabi National Oil Company and Borealis AG on the IPO of their joint venture, Borouge PLC, on the ADX.
Advising Salik Company PJSC on its IPO on the DFM (part of the Dubai Government privatization programme).
Co-led on a multijurisdictional due diligence transaction for a sale and purchase of shares in a multinational pharmaceuticals company with branches in Bahrain, Jordan, KSA and UAE.
Assisting on drafting a sophisticated legal due diligence report with respect to the acquisition of an Abu Dhabi-based target in the travel and tourism industry, holding subsidiaries across the UAE, Jordan and Egypt.
Advising on the restructuring of a multi-company group portfolio based in the BVI, holding platforms specialising in media and streaming services.
Advising ZenHR Inc. on a recent USD 10,000,000 multi-tranche investment round by investors in the MENA and GCC regions.
Advising Al Arabi Investment Group Co. on private equity investments in two companies in Jordan.
Advising on the acquisition by a joint venture between leading energy companies in the UAE, of a portfolio of solar and wind assets in the Middle East and North Africa.
Handling the restructuring of a 35-company holding group with entities in Jordan, Iraq, Lebanon, Saudi Arabia and the UAE.
Advising on a large-scale public private partnership in Jordan comprising the entry into and implementation of arrangements to construct 15 new schools in Jordan.
Advising on the acquisition by third parties of an affiliate company of MenaITech in the Cayman Islands.
Assisting on the acquisition by Japan Energy Capital of 30% of the entire issued share capital in a Jordanian renewable energy company.
Conducting legal due diligence in connection with the acquisition of LuLu Group International LLC (Abu Dhabi) by Abu Dhabi Developmental Holding Company PJSC.
