Asmaa Badawy has extensive experience in M&A, cross-border transactions, corporate structuring and restructuring, energy projects, and high-profile transactions in the financial sector.

Since joining Al Tamimi & Company, Asmaa has been involved in a variety of M&A transactions in the Middle East and advised on ADGM and UAE-related regulatory matters and corporate compliance.

Recent Experience

  • Advised Apollo Global management, a US private-equity firm considered one of the world’s largest alternative investment managers, on its investment in Aldar Properties, through an acquisition of a strategic equity stake. The total deal’s value was USD 1.4 billion, and is considered to be one of the largest FDIs into Abu Dhabi’s private sector.
  • Advised an Egyptian leading real estate developer on several acquisitions of lands in the UAE, with the total deals’ value of around AED 2 billion. Our scope included drafting and negotiating the key transaction documents (joint venture agreements and SPAs), and providing corporate structuring advice.
  • Advised one of the region’s largest holding companies with a diverse portfolio of major investments covering key sectors of Abu Dhabi’s economy, on its debt to equity conversion by way of capital increase and allotment of new shares. Our advice spanned from carrying out the due diligence, drafting and reviewing all transaction documents, to advising on all aspects of the UAE law, including the regulatory requirements. The total deal’s value was USD 300 million.
  • Advising one of the prominent global producers and suppliers of HBI and iron ore products on its partial acquisition of shares of a leading steel manufacturing based in UAE. Our advice spanned from drafting and reviewing all transaction documents, to advising on all aspects of the UAE law, including the regulatory requirements for consummation of the transfer of shares. The total deal’s value was USD 25 million.
  • Advising one of the largest UAE investment funds on its collaboration with a Ghanian entity with respect to the exploration and development of a gold mining concession in Ghana and assessing all potential associated legal risks and challenges (ongoing).
  • Advising a leading agricultural and dairy holding company based in the UAE on its conversion into a public joint stock company and listing on Abu Dhabi Securities Exchange (ADX). Our advice consists of providing all legal requirements, documentation and dealing with all competent authorities (ongoing).
  • Advised a UAE financial services company on the legal requirements and process for undertaking a capital reduction, withdrawal of central bank license to become an unregulated business, and ultimately all liquidation procedures.
  • Advising a major telecommunication company on its business restructuring and novation of all its licenses and assets to newly formed operating companies;
  • Acting for leading European banks and export credit agencies in cross border financing and refinancing transactions in the Aviation sector;
  • Advising on several corporate and regulatory matters, including the incorporation of PJSC, conversion procedures, capital reduction, board remuneration, and general assemblies convening process.
