Total deal valued at USD 65,75,4860 with funds being raised by a combination of cash and debt. Responsibilities included structuring the transaction, drafting the private placement memorandum, share subscription agreement, short-form limited partner agreement.
  • Lead associate, representing the sellers of two Ramada brand hotels in Tangiers and Fes Morocco for USD 15,666,270; responsible for negotiating and drafting definitive documentation, including share purchase agreement, disclosure letter and settlement agreement as well as closing the transaction in Casablanca, Morocco.
  • Lead associate representing Kuwait Telecommunications Company (the Kuwaiti subsidiary of Saudi Telecommunications Company) in connection with their acquisition of a 100% stake in QualityNet K.S.C.P. for USD 93,043,126. Specifically, drafted purchase price mechanism used in the Share Purchase Agreement. Additional responsibilities included reviewing disclosure letter, negotiating the terms of the share purchase agreement and conducting due diligence on the target..
  • Lead associate representing a regional investment bank, as acquirer, in connection with their acquisition of a 56% stake in a K-12 school in Kuwait for USD 65,754,860 raised by way of private equity. This deal involved a partnership with an international educational operator. Responsibilities included structuring the transaction to enable third-party investment, drafting the share purchase agreement, shareholders’ agreement, management agreement, limited partner agreement, share subscription agreement and conducting high-level due diligence on the target.
  • Drafted B2B and B2C terms and conditions and general privacy policy for ride-sharing, luxury goods delivery and F&B emerging growth companies;
  • Drafted employee stock plans, phantom stock plan and general incentive plan and schemes;
