Recent Experience

  • Advised on the investment by Jordan Capital & Investment Fund into Horizon Plastics, a cross-border transaction (c. USD 25 million). Responsibilities covered full due diligence on manufacturing operations in Jordan and Iraq, and drafting of all principal transaction documents, including share purchase and subscription agreements, share transfer deeds, and corporate approvals.
  • Assisted the Saudi Jordanian Investment Fund in its acquisition of Al-Youm Bakeries (c. USD 30 million). Workstreams included due diligence, drafting of the SPA and shareholder agreements, and oversight of closing and regulatory compliance.
  • Represented finance parties and lessors in multiple aircraft financing and leasing transactions, including the registration of twelve (12) aircraft with the Civil Aviation Regulatory Commission in Jordan. Drafted and registered national and international mortgage agreements, advised on syndicated loan structures and trustee security arrangements, and prepared registration and mortgage opinions. Individual aircraft values ranged between USD 35–40 million.
  • Conducted due diligence and transactional aspects of the acquisition of three electric power plants in Jordan with a combined capacity of 150 MW. Reviewed regulatory, environmental, and concession agreements, and supported preparation of key transaction documents.
  • Acted on the landmark PPP hospital project in Jordan between KBW and the Ministry of Health, valued at approximately USD 187 million. Drafted and negotiated the land lease, project agreement, and ancillary documents, and coordinated with government stakeholders under the Jordanian PPP framework..
  • Facilitated the structuring and establishment of a Cayman Islands vehicle for a confidential industrial client, transferring assets worth over USD 360 million. Prepared bespoke articles of association, shareholder agreements, and coordinated the capital raising, asset transfers, and issuance of shares
