Rana is a Senior Associate in the firm’s Corporate Commercial practice with an expertise in Civil Law, Companies Law, Capital Market Law, Construction Law, Labor Law, Intellectual Property Law, Oil and Gas and general corporate affairs.

She gained her diversified experience by acting for national, international and governmental entities on major transactions in Kuwait and Egypt.

Rana has 7 years of experience and advises on corporate commercial matters including, but not limited to, cross-border transactions, M&As, corporate structuring, regulatory, major initial public offerings, mandatory tender offers, listing and de-listing, and private placements, employment and competition matters in Egypt and Kuwait.

Recent Experience

  • Advised international companies with respect to competition law matters and prepared several merger consultation applications and formal filings before the Kuwait Competition Authority.
  • Advised Netflix and Apple Inc and several other international companies in relation to online streaming activities as per Kuwait Law.
  • Drafted and implemented several ESOPs for Egyptian companies, such as CI Capital, Fawry and Sodic.
  • Advised Fawry on the IPO and listing on the EGX and the secondary offering of a 36% stake held by the majority shareholder for the value of USD 275,000,000.
  • Advised Helwan Cement Company on the sale of its white cement plant to Emaar Industries Company.
  • Advised Cleopatra Hospital Group on various acquisitions such as Queens Hospital and El Katib Hospital.
  • Advised Eagle Capital on the acquisition of Egyptian Media Group.
  • Advised Suez Bags Company on the sale of 96% of its shares to Mondi Industrial Bags B.V.
  • Advised Cairo Investment and Real Estate Development (CIRA) on its IPO and listing of its shares on the EGX.
  • Drafted Joint Venture Agreement between Taqa Arabia and Castrol and its ancillary documents.
  • Represented Infinity Solar Energy SAE (Developer) in the second round of the Feed-in Tariff Program by which the developer developed three solar power plants located in Ben Ban, Egypt for a total capacity of 130MW.
  • Represented an Egyptian construction company in a € 33.643.060 claim regarding the breach of a service contract with a German company referred to arbitration under CRCICA rules.
  • Advised a number of renewable energy developers and consortia in connection with the development of 50MW Solar PV or 50MW Wind power plants under the newly introduced renewable energy Feed-in Tariffs programme and major European Companies in connection with wind power plants in Toulouse, France.
