Muhammad Arif Saeed is a partner and head of the Corporate & Commercial Department in the Riyadh (Kingdom of Saudi Arabia) office of Al Tamimi & Company. Before joining Al Tamimi & Company in January 2008, Muhammad was a partner at Hassan & Hassan (Advocates), a leading corporate law firm in Pakistan, with which he was associated for over 10 years.
Muhammad has advised local as well as international clients on a wide range of corporate and commercial matters, including contracts, joint ventures, M&A and setting up of companies. Muhammad has vast experience in advising clients on company law and partnership matters. He was the counsel to the Lahore Stock Exchange and Islamabad Stock Exchange in Pakistan and advised them on all regulatory matters. He has advised the two stock exchanges on the legal aspects of their corporatization and demutualization. He has assisted the stock exchanges in setting up of a unified trading system and developed implementing regulatory framework for this purpose.
Muhammad also advised the stock exchanges and various public companies on matters relating to listing and delisting of securities. He advised the Lahore Stock Exchange in its Dual-Listing Agreement with the Abu Dhabi Securities Market.
Muhammad has advised clients in the energy and power sectors on engineering, procurement and construction contracts (EPC), operation & maintenance contracts, power purchase agreements and fuel supply agreements. Recently, he negotiated and closed a US$ 46 million EPC contract a Chinese contractor for a 209 Mega Watts thermal power plant for Saif Power Limited in Pakistan. He negotiated EPC contracts with leading contractors in China and Turkey. Muhammad negotiated operation and maintenance agreement and a long terms services agreement with General Electric Inc. for Saif Power Limited. He has also successfully negotiated implementation and concession agreements for the state support in setting up of the power project in Pakistan.
Muhammad has been involved in advising UAE based investors in establishing a multimillion dollar five star hotel project in Pakistan in joint venture with the Government of Punjab, Pakistan. He has advised Sanofi-Aventis on the implementation of their employee stock option scheme in Pakistan. Muhammad has also represented international clients (including Continental A.G.) in matters relating to the registration of their trademarks in Pakistan. He has conducted court cases on infringement of trademarks.
