The Corporate Commercial practice has a dedicated transactional team and an unrivalled network of offices across the Arabian Gulf, in Dubai, Abu Dhabi and Sharjah, as well as in Doha, Baghdad, Riyadh and Amman, which can provide seamless regional cross-border transaction execution and corporate restructuring. We represent global companies making direct investments in the region, as well as substantial Gulf companies and funds.

Capital Markets
Al Tamimi & Company has a dominant position in the local market for Initial Public Offerings (IPOs). We have provided advice to either issuers or bookrunners in every major UAE IPO since 2006. We have worked on IPOs on the Dubai Financial Market and the Dubai International Financial Exchange. We transact substantial private placements and private equity deals for both issuers and investors throughout the Arabian Gulf.

Corporate Structuring & Regulatory Advice

Al Tamimi & Company has a specialist expertise in structuring entities and businesses for clients operating throughout the Gulf and the broader MENA region. The Corporate Commercial practice has a dedicated corporate structuring team which provides a full-service solution for “on shore” corporate set-ups and joint ventures throughout the UAE, for all UAE free zone set ups and UAE “offshore” companies. We also handle corporate restructurings, capital increases and reductions, regulatory advice and approvals, and business licensing.

Notably, the best-selling book “Setting up in Dubai” by Essam Al Tamimi, Senior Partner, is used by the business community in the UAE as a manual for corporate business structuring.

Commercial Advice & Agreements
Our Corporate Commercial practice client base includes some of the world’s largest corporations, sovereign wealth funds and major UAE corporation and family offices. We deliver a full range of commercial advice and agreements, including joint ventures, commercial agencies, franchises, distributor agreements, and service/consulting agreements.

Employment Law & Employee Benefits
We provide our clients with highly practical employment and employee benefits advice and assistance. We act for more than 100 multinational and local companies and organisations including well known household names, as well as other law firms and government-held entities. We deliver employment contracts, effective advice on labour law policies, employment policies and manuals, and incentive and bonus plans.

Regularly consulted by governmental bodies on legislative and regulatory issues, our team not only anticipates changes within the Middle East legal framework but also helps develop that framework. Our knowledge and understanding of the various governmental departments within the region places us in the best possible position to achieve our clients’ objectives as efficiently and smoothly as possible.

The UAE is a regional hub from which international corporations and organisations conduct their business throughout the GCC and Middle East. Therefore a further essential requirement of the department’s expertise is a broad legal and commercial knowledge of, and close working relationships with lawyers across the region. Many of our clients ask us to look after their legal interests throughout the Middle East region.

Our practice brings together experienced international lawyers from common law backgrounds and a high proportion of Arabic speaking lawyers fluent in both business Arabic and business English. This blend is the catalyst for seamless communication and interaction with our clients, government and Gulf region's regulatory bodies.
